These Terms of Use govern your access to and use of the website slid.lk and all services offered through it, including membership applications, the My SLID member area, and event and programme bookings. The website is owned and operated by the Sri Lanka Institute of Directors (“SLID”, “we”, “us” or “our”).
By accessing or using this website, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please do not use this website.
1. Definitions
“Website” means slid.lk and all of its pages and subdomains. “Member” means a person whose membership application has been approved by the SLID Governing Council and whose membership is current and paid. “Delegate” means a person registered to attend an SLID event or programme. “Content” means all text, images, logos, documents, publications, video and other material made available on the Website.
2. Eligibility and Acceptance
You must be at least 18 years of age and legally capable of entering into a binding contract to use this Website. Where you use the Website on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation to these Terms.
3. Membership Applications
Applying for membership of SLID does not create a right to membership. All applications are assessed against SLID’s By-Laws and the membership criteria in force at the time, and SLID reserves the absolute right to approve or decline any application without being obliged to give reasons.
An application passes through three stages after it is submitted:
- Verification. The SLID Secretariat checks your details, directorships and proposer, normally within three to five business days, and emails you once your application has been verified. Verification confirms only that your details are in order. It is not an approval of membership and does not create one.
- Payment. Once your application has been verified, we email you a secure link to pay the applicable entrance fee and subscription, by credit or debit card or by bank transfer. No payment is requested, and none should be made, before your application has been verified. Payment does not itself confer membership.
- Governing Council approval. Your paid application is tabled at the next meeting of the SLID Governing Council, which is held on the second Tuesday of every other month. Your membership begins only when the Governing Council has approved your application, at which point your membership number is issued and your member benefits become available.
You will be notified by email at each stage. Because payment is taken before the Governing Council meets, an application may be declined after payment has been made. If the Governing Council does not approve your application, the amount paid is refunded in full to the original payment method, in accordance with our Refund Policy.
You undertake to provide accurate and complete information in your application and to notify the Secretariat of any material change to your details, designation or directorships. Providing false or misleading information is grounds for rejection of an application or termination of an existing membership.
4. Membership Obligations and Renewal
Members agree to abide by SLID’s By-Laws, code of conduct and any rules or resolutions adopted by the Governing Council from time to time. Membership is personal to the individual member and may not be transferred, shared or assigned to any other person.
Membership runs for the period stated at the time of joining and must be renewed before its expiry date in order to continue uninterrupted. Member benefits, including member pricing on events and access to members-only resources, are available only while a membership is current and paid.
5. Member Accounts
Access to the My SLID area is provided through a password-protected account. You are responsible for keeping your login credentials confidential and for all activity carried out under your account. You must notify the Secretariat immediately if you suspect your account has been compromised. SLID may suspend or terminate an account where these Terms have been breached, where membership has lapsed, or where we reasonably suspect unauthorised use.
6. Event and Programme Bookings
Event and programme registrations are accepted subject to availability and are confirmed only when SLID issues a booking confirmation. Member pricing is available only to current paid members; where a registration claims member pricing for a person who is not a member in good standing, SLID may require payment of the difference or cancel the registration.
Where you register other participants, you confirm that you are authorised to provide their details to us and that you have made them aware of our Privacy Policy.
Early-bird rates apply only to bookings completed — including payment — on or before the stated early-bird closing date.
SLID may change the date, venue, format, programme or speakers of an event where circumstances require, and may cancel an event. Your rights where SLID cancels or postpones an event, and where you wish to cancel your own booking, are set out in our Refund Policy.
7. Fees, Payment and Currency
All fees displayed on this Website are in Sri Lankan Rupees (LKR) and, unless expressly stated otherwise, are inclusive of applicable taxes. SLID accepts payment by bank or online transfer and by credit or debit card through our authorised payment gateway.
Card payments are processed on the secure hosted page of our payment service provider. SLID does not receive or store your card details. You are responsible for any bank charges, correspondent bank fees or currency conversion charges applied by your own bank or card issuer.
Event seats and e-tickets are issued once payment has been successfully received and confirmed; a pending or failed payment does not secure a seat. Membership is different: confirmed payment is necessary but not sufficient, and a membership begins only when the Governing Council has approved the application, as set out in Section 3.
8. Acceptable Use
You agree not to:
- use the Website for any unlawful purpose or in breach of any applicable law or regulation;
- attempt to gain unauthorised access to the Website, its server, any member account, or any system or network connected to it;
- introduce any virus, malware, or other harmful code;
- use any robot, scraper or automated means to extract data, member information or content from the Website;
- copy, reproduce, republish or redistribute members-only content, publications or reports outside your own personal or organisational use;
- share your member login with any other person;
- impersonate SLID, a member, an office-bearer or any other person, or misrepresent your affiliation with SLID;
- submit any content that is defamatory, offensive, misleading or infringes the rights of any third party;
- interfere with or disrupt the operation of the Website or the experience of other users.
9. Intellectual Property
All Content on this Website, including the SLID name, logo, publications, reports, course materials, photographs, design and source code, is owned by SLID or its licensors and is protected by copyright and other intellectual property laws.
You may view, download and print Content for your own personal, non-commercial use and, where you are a member, for the internal use of your organisation. You may not otherwise reproduce, distribute, modify, sell, publish or create derivative works from any Content without our prior written permission. Speaker presentations and programme materials remain the property of their authors and may not be recorded, circulated or reproduced without consent.
10. Use of Images and Recordings at Events
SLID may photograph, film or record its events and may use those images and recordings in its publications, website, social media and promotional material. If you do not wish to appear in such material, please inform the Secretariat or the event organiser at the event.
11. Third-Party Links and Content
This Website may contain links to third-party websites and may display content supplied by partners, sponsors or speakers. Such links and content are provided for convenience and information only. SLID does not control and is not responsible for the content, accuracy, availability, products, services or privacy practices of any third-party website, and a link does not imply endorsement.
12. Disclaimers
The Content on this Website is provided for general information and professional development purposes only. It does not constitute legal, financial, tax, accounting or other professional advice, and must not be relied upon as a substitute for advice from a suitably qualified professional regarding your own circumstances.
Views expressed by speakers, authors and contributors in SLID publications, programmes and events are their own and do not necessarily represent the views of SLID or its Governing Council.
While we take care to keep the Website accurate and up to date, SLID makes no warranty that the Content is complete, current or error-free, or that the Website will be available uninterrupted or free of defects.
13. Limitation of Liability
To the fullest extent permitted by law, SLID, its Governing Council, officers, employees and agents shall not be liable for any indirect, incidental, consequential or special loss or damage, or for any loss of profit, revenue, business, goodwill or data, arising out of or in connection with your use of this Website, your reliance on any Content, or your attendance at any SLID event.
Nothing in these Terms excludes or limits any liability which cannot lawfully be excluded or limited.
14. Indemnity
You agree to indemnify and hold harmless SLID, its Governing Council, officers, employees and agents against any claim, loss, liability, cost or expense arising from your breach of these Terms, your misuse of the Website, or any content you submit to us.
15. Suspension and Termination
SLID may suspend or withdraw your access to the Website or to your member account, in whole or in part, at any time and without notice, where we reasonably believe that these Terms have been breached or that such action is necessary to protect the Website, our members or SLID. Termination of membership is governed by SLID’s By-Laws.
16. Changes to the Website and to These Terms
SLID may modify, suspend or discontinue any part of this Website at any time. We may also revise these Terms from time to time; the current version will always be posted on this page with its “Last updated” date. Your continued use of the Website after a change takes effect constitutes your acceptance of the revised Terms.
17. Privacy
Your use of this Website is also governed by our Privacy Policy, which forms part of these Terms and explains how we collect, use and protect your personal information.
18. Refunds
Refunds and cancellations are governed by our Refund Policy, which forms part of these Terms.
19. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them or your use of this Website are governed by the laws of the Democratic Socialist Republic of Sri Lanka, and you agree to submit to the exclusive jurisdiction of the courts of Sri Lanka.
20. Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and SLID in relation to your use of this Website.
